L’Autorità Garante della Concorrenza e del Mercato (AGCM) ha pubblicato, in data 13 febbraio 2017, i tre pareri rivolti rispettivamente ai sindaci dei Comuni di Atessa, Ortona e Fossacesia (CH) (AS1346, AS1247, AS1348).
I pareri sono stati formulati ai sensi dell’art. 21 bis L. n. 287/90, in merito alle modalità di gestione dei rifiuti urbani da parte dei citati Comuni, e in particolare all’affidamento diretto del servizio, secondo modalità in house providing, alla società Ecolan S.p.A., di cui alla Delibera del Consiglio comunale di Atessa n. 47 del 19 agosto 2016, alla Delibera della Giunta comunale di Ortona n. 218 del 22 agosto 2016, ed alla Delibera del Consiglio comunale di Fossacesia n. 35 del 29 agosto 2016.
In tutti e tre i pareri, l’AGCM ha esordito ricordando che, negli affidamenti in house, le scelte degli Enti Locali devono seguire i principi di trasparenza, non discriminazione e concorrenzialità. Inoltre, il soggetto affidatario deve rispondere a tre requisiti: la titolarità pubblica del capitale sociale, lo svolgimento dell’attività prevalente in favore dell’Ente affidante e il cd. controllo analogo, che devono sussistere al momento dell’affidamento. Questi requisiti valgono anche nel c.d. in house “frazionato” o “pluripartecipato”, in cui le amministrazioni pubbliche, in possesso di partecipazioni di minoranza, possono esercitare il controllo analogo in modo congiunto con le altre.
Passando ad analizzare il caso concreto, l’Autorità ha osservato tuttavia che gli organi degli Enti pubblici che esercitano il controllo analogo sulla Ercolan S.p.A. (Assemblea e Comitato ristretto) non integrano i requisiti sopra elencati.
Innanzitutto, l’Assemblea delibera a maggioranza assoluta, che non è – a detta della giurisprudenza amministrativa nazionale – sufficiente, almeno per quanto riguarda le vicende più importanti ed essenziali (nel caso di specie, piano industriale, aapprovazione della carta dei servizi e contratto di servizio). Mancando del tutto la previsione di maggioranze qualificate nello statuto della società, si deve concludere che non sussista il requisito del controllo analogo.
L’Autorità ha citato quindi quanto affermato dal Consiglio di Stato sul punto, e cioè che l’esistenza del controllo analogo congiunto necessario per consentire una aggiudicazione in house ad una società “non può fondarsi soltanto sul potere di controllo dell’autorità pubblica che detiene una partecipazione di maggioranza nel capitale dell’entità in questione, e ciò perché, in caso contrario, verrebbe svuotata di significato la nozione stessa di controllo congiunto”.
L’Autorità ha inoltre rilevato altre caratteristiche del funzionamento della società, che appaiono tali da impedire la attribuzione agli organi rappresentativi dei soci di poteri inibitori e vincolanti nei confronti del CdA, con la conseguente impossibilità per i soci di indirizzare l’attività sociale.
In conclusione, l’Autorità ha ritenuto che le delibere in oggetti fossero illegittime, ed ha invitato gli intestati Comuni a comunicare le iniziative adottate per rimuovere la violazione della concorrenza individuata.
In seguito, i Comuni di Ortona ed Atessa hanno informato l’AGCM delle sentenze del Tar Abruzzo, sezione di Pescara, che hanno annullato le delibere in oggetto. Invece, il Comune di Fossacesia ha inviato all’Autorità una comunicazione con cui, sostanzialmente, ribadiva la legittimità dell’affidamento disposto con la Delibra n. 35/2016. Conseguentemente, l’AGCM ha disposto l’impugnazione di detta Delibera davanti al Tar Abruzzo.
